1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Stackshala Technologies Private Limited ("Stackshala", "we", "us", or "our"), a company incorporated under the laws of India, regarding your use of the FocusCircle service.

FocusCircle is a product and service operated by Stackshala Technologies Private Limited. All references to "FocusCircle", "the service", or "the platform" refer to services provided by Stackshala Technologies Private Limited.

By accessing or using FocusCircle, you agree to be bound by these Terms. If you do not agree, do not use the service.

2. Description of Service

FocusCircle is a virtual co-working platform that enables users to participate in live video focus sessions with others. The service includes:

• Live video sessions for focused work
• Virtual currency system (FocusCoins)
• Session deposits and reward distribution
• Progress tracking and leaderboards
• Streak bonuses and achievements

3. Eligibility

You must be at least 18 years old to use FocusCircle. By using the service, you represent and warrant that you meet this age requirement.

4. Account Registration

• You must provide a valid email address to create an account
• You are responsible for maintaining the security of your account
• One person may not maintain multiple accounts
• You must not share your account credentials with others
• Notify us immediately of any unauthorized access

5. FocusCoins and Virtual Currency

5.1 Nature of FocusCoins

FocusCoins are virtual currency with no real-world monetary value. They exist solely within the FocusCircle platform and cannot be exchanged for cash, transferred to other users, or redeemed outside the platform.

5.2 Earning Coins

• New users receive 100 FocusCoins upon signup
• Coins are earned by completing focus sessions
• Bonus coins are awarded from forfeited stakes of users who quit early
• Streak milestone bonuses are awarded for consistent daily completion

5.3 Using Coins

• Coins are staked to join sessions (typical stake: 25 coins)
• Stakes are refunded upon session completion
• Quitting early forfeits your staked coins

5.4 Purchasing Coins

You may purchase additional FocusCoins through Stackshala Technologies Private Limited using the payment methods provided. All payments are processed securely by Razorpay. Coin purchases are final and non-refundable except as required by law.

6. Session Rules and Conduct

6.1 Session Participation

• You must keep your camera on during sessions for accountability
• You must remain at your workspace for the session duration
• Brief breaks are acceptable but excessive absence may result in penalties
• Respect other participants and maintain a professional environment

6.2 Early Departure

Leaving a session before its scheduled end time ("quitting early") results in forfeiture of your staked coins. Forfeited coins are distributed equally among participants who complete the session.

6.3 Prohibited Conduct

You agree NOT to:

• Harass, abuse, or harm other users
• Display inappropriate, offensive, or disturbing content on camera
• Record video or audio from sessions without consent
• Use the service for any illegal activity
• Attempt to manipulate the coin system or exploit bugs
• Create multiple accounts to gain unfair advantages
• Use automated tools or bots
• Impersonate others or provide false information

7. Payments and Billing

7.1 Payment Processor

All payments are processed by Razorpay on behalf of Stackshala Technologies Private Limited. By making a purchase, you agree to Razorpay's terms and conditions.

7.2 Pricing

Coin package prices are displayed in Indian Rupees (INR). Prices are subject to change, but changes will not affect purchases already made.

7.3 Taxes

You are responsible for any applicable taxes. Prices shown may not include taxes, which will be added at checkout as required by law.

7.4 Payment Information

Stackshala does not store your credit card information. All payment data is securely handled by Razorpay in accordance with PCI-DSS standards.

8. Refund Policy

Please refer to our separate Refund Policy for detailed information about refunds and cancellations.

9. Account Termination

9.1 By You

You may delete your account at any time by contacting us. Upon deletion, any remaining FocusCoins will be forfeited and cannot be refunded.

9.2 By Us

Stackshala Technologies Private Limited reserves the right to suspend or terminate your account for:

• Violation of these Terms
• Fraudulent or abusive behavior
• Chargebacks or payment disputes
• Extended inactivity (over 12 months)
• Any reason, at our sole discretion

10. Intellectual Property

All content, features, and functionality of FocusCircle (including software, text, graphics, logos, and trademarks) are owned by Stackshala Technologies Private Limited and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works without our express written permission.

11. Privacy

Your use of FocusCircle is subject to our Privacy Policy, which explains how Stackshala Technologies Private Limited collects, uses, and protects your data.

12. Disclaimers

12.1 "As Is" Service

FocusCircle is provided "as is" and "as available" without warranties of any kind, express or implied. Stackshala Technologies Private Limited does not guarantee uninterrupted, error-free, or secure service.

12.2 No Guarantee of Results

While FocusCircle is designed to improve focus and productivity, we make no guarantees about specific outcomes or results.

12.3 User Interactions

We are not responsible for the conduct of other users. You interact with other participants at your own risk.

13. Limitation of Liability

To the maximum extent permitted by law, Stackshala Technologies Private Limited shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or goodwill
• Service interruptions or technical issues
• Actions or content of other users
• Unauthorized access to your account

Our total liability shall not exceed the amount you paid to us in the 12 months prior to the claim, or ₹1,000, whichever is less.

14. Indemnification

You agree to indemnify and hold harmless Stackshala Technologies Private Limited, its officers, directors, and employees from any claims, damages, or expenses arising from:

• Your use of FocusCircle
• Your violation of these Terms
• Your violation of any third-party rights
• Your conduct during sessions

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by the laws of India, without regard to conflict of law principles.

15.2 Jurisdiction

Any disputes arising from these Terms or your use of FocusCircle shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.

15.3 Informal Resolution

Before filing any legal claim, you agree to contact us at support@stackshala.com to attempt to resolve the dispute informally.

16. Changes to Terms

Stackshala Technologies Private Limited may modify these Terms at any time. We will notify users of material changes via email or prominent notice on the platform. Continued use after changes constitutes acceptance of modified Terms.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Stackshala Technologies Private Limited.

17.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

17.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver.

17.4 Assignment

You may not assign your rights under these Terms. We may assign our rights to any affiliate or successor.
